Terms of service
Last updated 2 November 2026
1. Agreement
These terms govern your use of toxagent.com and the ToxAgent application and pilot reviews (the “Service”), provided by {{Company legal name}}, {{Registered address}} (“ToxAgent”, “we”, “us”). By using the Service you accept them on behalf of yourself and the organisation you represent (the “Customer”), and you confirm you have authority to do so.
If the Customer has signed an order form, pilot agreement or other written contract with us, that contract prevails where it differs from these terms. The Service is for business use only; consumer protection rules for private individuals do not apply.
2. The Service
ToxAgent provides software agents that assist with literature reviews for regulatory dossiers: searching, screening, reliability assessment and drafting of search reports and study tables. We may change, add or remove features. During a pilot or early access period the Service is provided as a preview, may change without notice and may be unavailable at times.
3. Expert review and responsibility for submissions
Output is a draft for qualified review. AI generated screening decisions, scores, quotes, categories and reports can be incomplete or wrong. The Service is designed so that a named expert on the Customer's side reviews and signs off the protocol, screening, assessment and report.
The Customer is solely responsible for reviewing all output, for its regulatory submissions and for every decision based on the Service. ToxAgent does not provide legal, regulatory or scientific advice and does not guarantee that any dossier, review or study will be accepted by an authority, or that a search finds every relevant study.
4. Accounts
You must give accurate information, keep your sign in credentials confidential and tell us at once at contact@toxagent.com if you suspect unauthorised use. The Customer is responsible for all activity under its accounts. We may set usage limits, such as a daily number of AI drafts.
5. Acceptable use
You must not:
- upload content you have no right to use, or content that is unlawful or contains malware;
- try to break, probe or bypass the Service's security, limits or access controls;
- reverse engineer the Service, or extract its prompts, models or methods, except where the law allows it;
- use the Service to build a competing product, or resell it without our written consent;
- overload the Service, or access it by automated means other than those we provide.
We may suspend access that breaches this section or puts the Service or other users at risk.
6. Customer content
The Customer keeps all rights in the documents, protocols, criteria and data it brings to the Service and in the reports produced for it (“Customer Content”). The Customer grants us the right to process Customer Content only to provide, secure and support the Service. We do not use Customer Content to train AI models.
The Customer confirms it has the rights needed to upload Customer Content, including copyright licences for published papers. Personal data in Customer Content is processed under our privacy policy and a data processing agreement.
7. Our intellectual property
The Service, its software, agents, prompts, methods, design and the ToxAgent name and marks belong to us or our licensors. We grant the Customer a limited, non exclusive, non transferable right to use the Service during the agreed term for its internal business. Feedback you give us may be used freely to improve the Service.
8. Confidentiality
Each party keeps the other's non public information confidential, uses it only for this agreement and protects it with at least reasonable care. This does not cover information that is public, already known, independently developed or that must be disclosed by law, in which case the disclosing party gives notice where allowed.
9. Fees
Pilots and ongoing use of the Service are paid. Fees, billing and payment terms are set in the order form or pilot agreement. Unless that document says otherwise, invoices are due within 30 days, fees are exclusive of VAT and other taxes, and fees already paid are not refundable. We may suspend the Service if an invoice remains unpaid 14 days after a written reminder.
10. Disclaimer
The Service is provided “as is” and “as available”. To the extent the law allows, we exclude all warranties not stated in these terms, including warranties of fitness for a particular purpose, accuracy, completeness and uninterrupted operation.
11. Limitation of liability
Neither party is liable for indirect or consequential loss, lost profits, lost revenue, lost data or loss arising from regulatory decisions, delays or rejected submissions.
Our total liability arising from the Service is limited to the fees the Customer paid us for the Service in the twelve months before the event giving rise to the claim.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, for intent or gross negligence, or any other liability that cannot be limited by law.
12. Indemnity
The Customer will defend and indemnify us against third party claims arising from Customer Content or from use of the Service in breach of these terms.
13. Term and termination
These terms apply while you use the Service. A pilot ends when its agreed scope is delivered. The term, renewal and notice periods for ongoing use are set in the order form. We may suspend or end access at once for a material breach. On termination the right to use the Service ends; the Customer may export its saved data during the following 30 days, after which we delete it as described in the privacy policy. Sections 3, 6 to 8 and 10 to 15 survive termination.
14. Changes to these terms
We may update these terms. We will give account holders at least 30 days' notice by email of material changes. Continuing to use the Service after that date means accepting the new terms.
15. Governing law and disputes
These terms are governed by the law of {{Governing law country}}, excluding its conflict of law rules and the UN Convention on Contracts for the International Sale of Goods. The courts of {{City of competent courts}} have exclusive jurisdiction.
If any provision is found invalid, the rest remains in force. These terms are the entire agreement on their subject, together with any order form. Neither party may assign them without the other's consent, except to a successor of its business.
